Babelix commits to employing commercially reasonable efforts to operate the Affiliate Program’s tracking system and to process payments of Commissions duly accrued and payable to the Affiliate in accordance with the terms of this Agreement.
The following conditions shall govern payments:
4.1. Minimum Threshold and Currency
Payment of accumulated and approved (“Approved”) commissions to the Affiliate will only be processed when the outstanding balance in the Affiliate’s account reaches or exceeds a minimum of USD $100.00 (one hundred United States dollars) (“Minimum Payout Threshold”).
Commissions will be calculated and paid in United States Dollars (USD) unless Babelix, at its sole discretion, specifies or agrees in writing to use another currency.
Babelix will not pay interest on Commissions accrued in the Affiliate’s account that are pending payment. Accumulated earnings that do not reach the Minimum Payout Threshold will remain accrued in the Affiliate’s account until said minimum is reached.
4.2. Payment Frequency and Schedule
Subject to meeting the Minimum Payout Threshold, Babelix will process payments of approved (“Approved”) commissions on a bi-weekly frequency (twice per month), under the following schedule:
- Payments processed around the 1st of each month will include commissions whose status changed to “Approved” between the 9th and the 23rd of the preceding calendar month.
- Payments processed around the 16th of each month will include commissions whose status changed to “Approved” between the 24th of the preceding calendar month and the 8th of the current calendar month.
This payment schedule allows Babelix to complete its internal validation periods, including applicable free trials and refund deadlines for referred users’ subscriptions, before confirming commissions as final and payable (“Approved”). Babelix reserves the right to adjust these processing dates for operational reasons and will notify Affiliates if applicable.
4.3. Payment Method
Babelix will make payments using one of the methods offered by the Program and selected by the Affiliate in their affiliate account settings (such as the integrated “Payouts Service” or via “Manual Payout,” as described in the Program documentation and the options available in the Affiliate dashboard).
The specific processing of the payment will depend on the method selected by the Affiliate and enabled by Babelix.
The Affiliate is solely responsible for providing and maintaining complete, accurate, and valid payment information for the chosen method. If applicable, any bank fees, payment processing fees, or currency conversion fees associated with the payment method selected by the Affiliate may be deducted from the payable commission amount.
Babelix will not be liable for failed, held, or delayed payments resulting from incorrect, incomplete, or outdated payment information provided by the Affiliate.
4.4. Fiscal Obligations
The Affiliate participates in this Program as an independent contractor.
The Affiliate is solely and exclusively responsible for determining, declaring, and paying all taxes, duties, levies, or fiscal charges (including, without limitation, income tax, social security, VAT, or other sales or service taxes) applicable to the commissions received from Babelix in accordance with the current legislation in their applicable tax jurisdiction(s).
Babelix will not perform any withholding or payment of taxes on behalf of the Affiliate, except in those cases where applicable law expressly requires Babelix to perform a specific withholding. In such a case, Babelix will deduct the legally required withholding from the commission payment and remit it to the competent tax authority.
It is strongly recommended that the Affiliate consult a professional tax advisor to understand and fulfill their tax obligations.
4.5. Review, Verification, and Disputes
The Affiliate will have access to a secure, password-protected area (“Affiliate Dashboard”) where they can view reports provided by Babelix, including estimated performance statistics such as clicks, referrals, accrued commissions, and payment status. Babelix will employ commercially reasonable efforts to ensure that the data in said dashboard is updated promptly. However, the Affiliate acknowledges that inherent delays in data processing and validation may exist. Babelix reserves the right to review and verify the validity of all referred transactions and generated commissions and to reasonably delay a payment if necessary to complete such verification (e.g., to confirm the absence of fraud, refunds, or chargebacks).
Suppose the Affiliate believes there is a discrepancy in the calculation or payment of their commissions. In that case, they must notify Babelix in writing, providing sufficient detail to identify the dispute, within thirty (30) calendar days from the date the payment in question was made (or from the date it should have been made, in the case of non-payment).
After said period passes without notification of a dispute, the Affiliate will be deemed to have accepted the calculation and payment (or lack thereof) as correct and final for that period.
Babelix will investigate any dispute notified promptly and correctly in good faith.
