6. Promotional Materials and Intellectual Property

6.1. Limited License
Babelix will make official promotional materials available to the Affiliate, including links, banners, logos, images, videos, approved texts, and other marketing resources (“Promotional Materials”).
Babelix grants the Affiliate a non-exclusive, non-transferable, revocable, worldwide license to use said Promotional Materials and Babelix’s trademarks (“Babelix Marks,” such as logos, trade names, and slogans) solely to legitimately promote the Babelix platform within the framework of the Program.
This license does not imply any transfer of intellectual property to the Affiliate; ownership of the Babelix Marks and all provided Promotional Materials remains exclusively with Babelix and its licensors.
The Affiliate acknowledges that the Promotional Materials, including affiliate links, may be provided in specific formats, such as HTML code or other technical formats, and agrees to use them according to the technical specifications provided by Babelix to ensure proper tracking functionality and an appropriate visual representation.
6.2. Permissible Use of Materials
The Affiliate may place the tracking links and graphic materials provided by Babelix on their website, in emails, on social media, or in other communications intended to promote Babelix.
When using graphic elements (such as banners or logos), the Affiliate must exclusively use those officially provided by Babelix through the Program.
There are no exclusive territorial restrictions: the Affiliate may target global audiences, provided that local laws are respected (for example, promotions in countries where “sugar dating” activities may be regulated must adapt to those legal requirements).
Babelix may provide style guides, technical requirements, or recommendations regarding the use of its marks and materials.
The Affiliate agrees to follow such guidelines to ensure the correct use of the Company’s image. Babelix reserves the right to modify or update the designs, logos, or content of the supplied Promotional Materials at any time by notifying affiliates or publishing the new materials on the Program platform.
The Affiliate shall be responsible for implementing the updated materials in their promotional media within a reasonable timeframe after Babelix notifies them or publishes the materials to ensure brand consistency and the accuracy of promotional information.
Babelix will endeavor not to drastically change the dimensions of banners or other elements without prior notice to minimize technical impacts.
6.3. Use Restrictions
Although Babelix does not impose arbitrary restrictions on where or how the Affiliate may use the Promotional Materials (beyond the Acceptable Use policies already mentioned), it does require responsible use in accordance with the following:
- Promotional Materials must be used as provided by Babelix, without alterations or edits that distort their integrity. The Affiliate is not permitted to modify Babelix logos or adjust banners beyond proportional resizing, if necessary. Any special modification (e.g., overlaying additional text on an official graphic) requires prior approval from Babelix.
- The Affiliate may not use Babelix Marks in a manner that suggests official Babelix endorsement of an Affiliate product or service, nor to falsely state any association other than the contractual relationship of this Program. The Affiliate may not act as or present themselves as a commercial representative, partner, or agent of Babelix, nor contract or attempt to contract with third parties on behalf of Babelix. It must be clear to the public that this is a promotional affiliation relationship.
- The Affiliate shall acquire or claim no rights over the Babelix Marks or words or symbols confusingly similar to them. The Affiliate is strictly prohibited from registering, attempting to register, or using any domain name, subdomain, trademark, social media username, online identifier, keyword in pay-per-click (PPC) advertising, or any other digital asset containing the “Babelix” mark, any mark owned by the Company, or any variation, misspelling, or term that is substantially similar to or likely to confuse with the Babelix Marks, without the express, prior written consent of Babelix. Babelix shall have sole discretion to determine if confusion exists and may demand the immediate transfer or deletion of any asset registered or used in violation of this clause.
- If Babelix provides textual content or descriptions for use in promotions, the Affiliate may translate or adapt them to their style, provided the essence and message are not distorted. In the event of translations into other languages, the Affiliate shall strive to ensure that key terms (e.g., subscription plan names) are accurate. Babelix imposes no language restrictions on promotions, but the Affiliate is responsible for any translations they make and must avoid errors that could lead to misunderstandings.
- Upon termination or suspension of the Affiliate’s participation in the Program for any reason, the license granted for using Babelix Marks and Materials shall cease immediately. The Affiliate must remove from all their sites, emails, or channels any reference to Babelix using logos, marks, or official material within no more than five (5) business days from termination. Likewise, the Affiliate must refrain from further using or distributing Babelix content, subject to penalties for intellectual property rights violations.
6.4. Technical Maintenance and Right of Link Disconnection
The Affiliate is solely responsible for the correct technical implementation and ongoing maintenance of affiliate links on their websites, emails, or other authorized promotional media. This includes ensuring that the software, hardware, and any other technology the Affiliate uses to display or manage the links function correctly and do not negatively interfere with the user experience or Babelix’s systems.
Babelix reserves the right to request the Affiliate, at any time and in its reasonable discretion, to immediately disable or remove any specific affiliate link or all instances thereof if Babelix believes that:
- The Affiliate’s implementation of the link is causing (or is likely to cause) technical failures, interruptions, or errors on Babelix’s or third-party websites or services;
- The link is being used in violation of any policies of this Agreement or Babelix’s promotion guidelines; or
- The manner in which the link is presented or used harms (or is likely to harm) Babelix’s reputation, brand, or business interests.
The Affiliate must comply with such a disconnection request without undue delay. Failure to comply with a disconnection request may result in the suspension or termination of the Affiliate’s account. Babelix may, at its discretion, determine that commissions generated through a link whose disconnection was requested and not addressed, or which was directly associated with the cause for the disconnection request, be voided or withheld.
6.5. License of Affiliate Name/Logo to Babelix
The Affiliate grants Babelix a non-exclusive, worldwide, royalty-free license to use the Affiliate’s trade name, logo(s), and website name(s), as provided in their application or profile, solely to publicize, market, and promote the Affiliate’s participation in the Babelix Affiliate Program (e.g., by including them in partner lists or testimonials).
Babelix is not obligated to carry out such a promotion. This license shall cease automatically upon the termination of the Affiliate’s participation in the Program.
6.6. Unauthorized Use
Any use of Babelix Marks or materials contrary to the stipulations in this section shall be considered unauthorized use. Babelix reserves the right to revoke the license for brand use at any time and to undertake appropriate legal action to protect its intellectual property rights, including seeking injunctive relief or damages if applicable.
6.7. Duty to Notify Infringements
The Affiliate shall notify Babelix immediately and in writing if they become aware of any unauthorized use or infringement by third parties of the Babelix Marks, Promotional Materials, or any other Babelix intellectual property related to the Program.
