During the affiliate relationship, the Affiliate may gain access to sensitive or confidential information belonging to Babelix, including business, marketing strategies, financial data, software, APIs, customer lists, or other materials designated as confidential.
The Affiliate agrees to maintain strict confidentiality regarding all information that Babelix discloses to them that is reasonably marked as confidential or inherently confidential in nature. This includes, by way of example:
- The specific financial terms of the Affiliate Program (e.g., special commission percentages, bonuses, or exclusive offers not publicly known).
- Any non-public reports, data, or statistics provided by Babelix.
- Personally Identifiable Information (PII) of Babelix users or customers to which the Affiliate might gain access in exceptional cases. As a general rule, the Affiliate will not receive personal data of referred users (beyond perhaps a reference ID or aggregated data); however, should the Affiliate come into possession of Babelix user data, they must treat it with complete confidentiality and in accordance with applicable data protection laws.
- Any future plans, developments, or non-public announcements relating to Babelix, as well as any internal technical or business information shared with the Affiliate.
The Affiliate may not reveal, disseminate, or use Babelix’s confidential information for any purpose extraneous to fulfilling their obligations under this Agreement unless they possess express written authorization from Babelix.
The sole exception to the above is compliance with a valid legal requirement from a competent authority (e.g., a court or administrative order). In such a case, the Affiliate, if permitted by law, must immediately notify Babelix before disclosing the information, so that Babelix can take protective measures (e.g., seek a protective order for the information).
This confidentiality clause shall remain in effect even after the termination of the relationship between Babelix and the Affiliate, for a minimum period of two (2) years or the longer period established by applicable law.
Babelix reserves the right to seek legal remedies (such as injunctive relief) in case of a breach of confidentiality, acknowledging that the harm caused may be irreparable and not solely compensable by monetary damages.
