Annex A: Babelix Affiliate Program Promotion Policy and Restrictions

Purpose and Scope

This Annex A details the specific restrictions and guidelines that complement Section 5 (“Acceptable Use of Traffic and Promotion”) of the Terms and Conditions (the “Agreement”) of the Babelix Affiliate Program (“Program”).

The Affiliate must strictly comply with all provisions contained herein. Failure to comply with any of these restrictions may result in the immediate suspension or termination of the Affiliate Account and the voiding of accrued Commissions, as stipulated in the Agreement. Capitalized terms used herein have the same meaning as in the main Agreement.

Pay-Per-Click (PPC) Advertising

Promoting Babelix through PPC platforms (such as Google Ads, Bing Ads, Meta Ads, etc.) is permitted only if the following conditions are met:

  1. Direct Linking Prohibited: Linking directly from any PPC ad to the Babelix Website is strictly forbidden. All PPC traffic must first be directed to a website or landing page owned and controlled by the Affiliate, from which the user may, if they choose, click an Affiliate Link to go to Babelix.
  2. Keyword Restrictions:
    • Babelix Trademarks: The Affiliate is prohibited from bidding on keywords that include the Company’s registered trademarks (“Babelix”, “Marvixia OÜ”), as well as any variations, common misspellings, or terms likely to confuse with said trademarks on any PPC platform. The Affiliate must add these trademarks and their variations as negative keywords in all their PPC campaigns to prevent them from promoting Babelix.
    • Competitor Trademarks: The Affiliate is prohibited from bidding on keywords corresponding to registered trademarks of Babelix’s direct competitors, to divert traffic to their Babelix affiliate links.
    • Recommended Negative Keywords: The Affiliate is strongly recommended to add as negative keywords generic terms that may attract unwanted or low-quality traffic, such as (non-exhaustive list): “free”, “cancel trial”, “refund”, “scam”, “fraud”, “negative reviews”, “complaints”, “babelix customer support”, “babelix login”, “babelix sign in”, “babelix account”, etc.
  3. Ad Copy Restrictions:
    • It is prohibited to use Babelix’s registered trademarks (“Babelix”, etc.) directly in the title, description, or display URL of PPC ads without prior written approval from Babelix.
    • Ads must be truthful and non-misleading, and must not make exaggerated promises or claims that do not accurately reflect Babelix’s actual services and offers.
    • Ads must comply with all the advertising platform’s policies (e.g., Google Ads and Facebook Ads).
    • It is recommended to avoid using unsubstantiated superlatives or guarantees of specific results.

Prohibited Traffic Types and Sources

In addition to the general restrictions in the Agreement, the following traffic sources and types are explicitly prohibited for promoting Babelix:

  • Incentivized Traffic: Generating Referrals by offering users any direct incentive (money, points, gifts, unauthorized discounts, etc.) in exchange for registering or subscribing.
  • Explicit/Illegal Adult Traffic: Directing traffic from websites whose main content is illegal pornography, explicitly violent, or promotes illegal activities.
  • Pop-ups / Pop-unders / Interstitials: Using any pop-up, pop-under, or interstitial window displaying Babelix ads or Affiliate Links.
  • Adware / Spyware / Toolbars: Generating traffic via software installed on the user’s device (adware, spyware, toolbars, browser helper objects) that displays ads or redirects the user without explicit consent.
  • SMS / MMS Traffic: Promoting Babelix or sending Affiliate Links via unsolicited SMS or MMS messages.
  • Classifieds/Public Chat Rooms Traffic: Posting Affiliate Links directly on mass classified ad sites (such as Craigslist, Gumtree, etc.) or in public chat rooms where such promotion is considered spam or prohibited by the site’s or room’s rules. This does not prevent promotion in one’s communities or forums where permitted and relevant.

Other Prohibited Technical Practices

  • Cookie Stuffing / Dropping: Any method that installs an affiliate cookie in the user’s browser without the user having performed a voluntary and informed click on a valid Affiliate Link.
  • Framing / Iframing: Displaying the Babelix Website or parts thereof within a frame or iframe on the Affiliate’s website in a way that obscures the original URL or causes confusion.
  • Identity / Referrer Masking: Using techniques to hide or falsify the referring URL (referrer) of traffic sent to Babelix, or any method intended to deceive about the true origin of the traffic or the Affiliate’s identity.

Consequences of Non-Compliance

Any violation of the restrictions contained in this Annex A will be considered a serious breach of the Agreement and may result in the immediate suspension or termination of the Affiliate Account, as well as the voiding of all pending and/or paid Commissions determined to be the result of such prohibited practices.

Modifications

Babelix reserves the right to modify this Annex A at any time. Modifications will take effect upon notification to the Affiliate, as stipulated in the main Agreement. The Affiliate is responsible for periodically reviewing this Annex to stay informed of current restrictions.
