14. Definitions

Unless the context otherwise requires, the following terms shall have the meanings ascribed to them below when used with initial capitalization in this Agreement:

Agreement: 
Refers to these Babelix Affiliate Program Terms and Conditions, including any annexes, modifications, or future updates communicated by Babelix.
Affiliate: 
The natural person or legal entity whose application to participate in the Program has been accepted by Babelix and who is subject to the terms of this Agreement.
Babelix / Company: 
Refers to Marvixia OÜ, a company registered in Estonia (registration number 16539801), operator of the Program and the Babelix website.
Commission: 
The remuneration payable by Babelix to the Affiliate is calculated as a percentage of the net payment for a qualified subscription or other eligible transaction made by a Referred User, in accordance with Clauses 3.2 and 3.3 of this Agreement. Includes both Direct Commissions and Multi-Level Commissions.
Direct Commission: 
The commission earned by the Affiliate for a Referral generated directly through their own Affiliate Links (Level 1 Commission).
Multi-Level Commission / Override Commission: 
The commission earned by the Affiliate based on the Direct Commissions generated by Sub-affiliates within their network (Level 2 to Level 5 Commissions).
Chargeback: 
The reversal of a payment previously made by a customer via credit card or other method, initiated by the issuing bank at the cardholder’s request.
Affiliate Account: 
The account created by the Affiliate within the Program platform following their registration and acceptance.
Affiliate Link(s) / Referral Link(s): 
The unique Uniform Resource Locator(s) (URL(s)), provided by Babelix to the Affiliate, containing the Affiliate ID or other tracking code, which the Affiliate must use to direct traffic to the Babelix Website to track Referrals. It may include HTML code or other technical formats.
Affiliate ID: 
The unique alphanumeric identifier assigned by Babelix to each Affiliate for tracking and commission attribution purposes.
Confidential Information: 
All non-public information disclosed by one party (the “Disclosing Party”) to the other party (the “Receiving Party”) under this Agreement, whether orally, in writing, graphically, or electronically, which is designated as confidential or which, by its nature or the circumstances of its disclosure, should reasonably be understood to be confidential.
Includes, without limitation, technical, financial, commercial, operational, strategic information, customer or user data (to the extent shared), the specific terms of this Agreement not publicly disclosed, and any other proprietary information of the Disclosing Party.
Does not include information that (a) is or becomes publicly known without breach of this Agreement by the Receiving Party; (b) the Receiving Party already legitimately knew before its disclosure; (c) is legitimately received by the Receiving Party from a third party without confidentiality restrictions; or (d) is independently developed by the Receiving Party without use of the Disclosing Party’s Confidential Information.
Promotional Materials: 
The marketing resources Babelix provides to the Affiliate, such as banners, logos, pre-generated links, approved texts, images, or videos, are intended for use in promoting Babelix.
Affiliate Dashboard: 
The secure, password-accessible online portal provided by Babelix where the Affiliate can manage their Affiliate Account, obtain Affiliate Links and Promotional Materials, view performance statistics, and configure their payment details.
Term: 
The period during which this Agreement remains in effect, commencing on the date Babelix accepts the Affiliate’s application to join the Program and continuing until terminated by either party in accordance with the terms of Section 9 (Termination) of this Agreement.
Program: 
The Babelix Affiliate Program is operated by the Company and governed by this Agreement.
Claim: 
Any claim, demand, legal or administrative action, arbitration or other proceeding, investigation, litigation, loss, damage, liability, obligation, cost, or expense, including, without limitation, reasonable legal fees and court costs.
Refund: 
The full or partial return of a payment to a Referred User by Babelix, in accordance with Babelix’s refund policies.
Referral / Conversion: 
The qualified action completed by a Referred User (specifically, the first effective payment for a premium subscription following any trial period and subsequent recurring payments) that entitles the Affiliate to earn a Commission under the terms of this Agreement.
Babelix Website(s): 
The main website(s) and any associated subdomains operated by Babelix where services are offered to end users.
Sub-affiliate: 
Another affiliate participating in the Program who was referred or recruited to join the Program by the Affiliate.
Minimum Payout Threshold: 
The minimum amount of approved (“Approved”) Commissions that the Affiliate must accumulate (currently $100) to be eligible to receive a payment in a given cycle.
Referred User: 
An end user who accesses the Babelix Website via a valid Affiliate Link of the Affiliate.
